Acceptance of Terms

By accessing and using the Kaizen Pro service, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

Description of Service

Kaizen Pro provides an AI-powered platform designed to assist collision repair professionals with estimate preparation, repair planning, and documentation. Our service includes software tools, data analysis, and support services.

The Service is intended for use by automotive collision repair facilities and their authorized personnel. It is not intended for consumer or personal use.

User Accounts

To access certain features of our Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

Acceptable Use

You agree not to use the Service to:

• Violate any laws, regulations, or third-party rights
• Upload or transmit viruses or malicious code
• Attempt to gain unauthorized access to our systems or engage in any activity that disrupts our Service
• Use the Service for any illegal or unauthorized purpose
• Reproduce, duplicate, copy, sell, or resell any part of our Service
• Reverse engineer, decompile, or disassemble any aspect of our software or Service

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Kaizen Pro and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used without our prior written consent.

You retain ownership of any content you submit through the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute your content in connection with providing the Service.

Payment Terms

Certain features of our Service require payment. You agree to provide current, complete, and accurate billing information. You authorize us to charge your payment method for all fees due.

Subscription fees are:

• Billed in advance on a recurring basis
• Non-refundable except as required by law
• Subject to automatic renewal unless cancelled
• Subject to change with notice

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAIZEN PRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL KAIZEN PRO'S AGGREGATE LIABILITY EXCEED THE AMOUNTS ACTUALLY PAID BY YOU TO KAIZEN PRO IN THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. KAIZEN PRO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.

Indemnification

You agree to indemnify and hold harmless Kaizen Pro and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, violation of these Terms, or violation of any rights of another party.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Request by law enforcement or government agency
• Extended periods of inactivity
• Fraudulent or illegal activity
• Non-payment of fees

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that should reasonably survive termination shall remain in effect.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in San Francisco County, California.

Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.
